Terms of Sale

These Terms govern every paid order placed on RGATT. English version, provided for convenience: the French version is the one that prevails.

01Purpose & scope

These Terms of Sale govern every paid order placed on the RGATT platform by a consumer or a professional. They complement the Terms of Use, which govern free use of the platform. Where the two conflict on a paid order, these Terms of Sale prevail.

Territorial scope.Paid offers are reserved for customers whose billing address is in a member state of the European Union. Orders placed from outside the European Union may be refused or cancelled and refunded in full, at no cost to the customer. This restriction exists because tax and consumer protection obligations follow the customer's country of residence, and we only serve territories where we can meet them properly.

Placing a paid order implies unreserved acceptance of these Terms in the version in force on the day of the order. That version is archived and can be sent to you on request.

03What we sell

RGATT operates a provenance and traceability registry for fine watches. RGATT is not a marketplace: it never sells watches, never holds funds on behalf of members, and is never a party to any sale a member may agree with a third party. The paid offers are the following.

Registration beyond the free allowance (€29per watch, one-off). Every account includes three free registrations for life. Beyond that, each additional registration is charged individually. A registration covers verification of the information provided, creation of the watch's digital passport, and its entry in the provenance registry.

Ownership transfer (€19.90 per transfer, €9.95 for Founding Collectors). Allows a registered watch to be transferred to another member. The fee covers use of the transfer service only. Ownership moves as soon as the fee is paid, and the recipient does not have to accept it, so the service is fully performed at that moment. If the transfer does not complete for a reason attributable to RGATT - for example the watch became non-transferable between payment and execution - the fee is refunded in full. Once ownership has moved, the fee is not refundable: sending a watch back is a new transfer and is charged again. A recipient who was not expecting the watch may dispute the receipt, which freezes the piece and blocks any onward transfer while RGATT reviews it.

Founding Collector seat (one-off payment, see article 11). A numbered seat, limited to 100 in total, granting the advantages described in article 11.

Subscriptions. Recurring plans may be offered on the pricing page. Their price, content and billing cycle are those shown on that page at the time of subscription. A plan marked as unavailable cannot be subscribed to and creates no obligation on either side.

04Prices

All prices are shown in euros and inclusive of all taxes. The amount displayed before you confirm is the amount that will be debited: the applicable VAT, if any, is already included in it and is shown separately on your invoice.

Where the customer's country applies a different VAT rate, the tax is calculated on the basis of the billing address provided at checkout. Providing an inaccurate billing address in order to alter the tax due entitles RGATT to cancel the order.

RGATT may change its prices at any time. The price applicable to an order is the one displayed at the time the order is placed. For a subscription, a price change only takes effect at the next renewal and is notified in advance, giving the subscriber time to cancel before it applies.

05Placing an order

An order follows these steps: selecting the offer, reviewing a summary showing the exact total inclusive of tax, accepting these Terms, and confirming payment. The button that finalises the order states unambiguously that it carries an obligation to pay.

The contract is formed when payment is confirmed. A confirmation is then sent to the email address linked to the account, on a durable medium, recapping the order, the price paid, and where applicable the consent given under article 8. You should keep it.

06Payment

Payments are processed by Stripe Payments Europe, Ltd. RGATT never sees or stores your card details. Accepted payment methods are those shown at checkout.

If a payment fails or is reversed, RGATT may suspend access to the service concerned until the situation is resolved. For subscriptions, a failed payment triggers a notice and a retry period before any suspension.

07When the service starts

Services are supplied electronically and are available immediately once payment is confirmed, unless you have chosen otherwise under article 8.

Registration involves a verification step which may require human review. RGATT undertakes to carry it out with reasonable diligence, normally within a few business days. If a registration cannot be completed for a reason not attributable to the customer, the amount paid is refunded in full.

Payment without delivery. More generally, whenever RGATT collects payment but cannot deliver the corresponding service - for any reason, including a seat that turns out to be unavailable or a duplicate charge - the sum is refunded in full, to the original payment method, without the customer having to ask. This is an obligation, not a goodwill gesture.

08Right of withdrawal

The principle. As a consumer, you have fourteen calendar days from the day the contract is concluded to withdraw, without giving any reason and without penalty (article L.221-18 of the French Consumer Code).

How to exercise it. Send an unambiguous statement to legal@rgatt.com, or use our withdrawal form. Using the form is not mandatory: any clear statement of your decision is enough. We will acknowledge receipt.

Consequences. We refund all sums paid no later than fourteen days after we are informed of your decision, using the same payment method, unless you expressly agree otherwise. No fee is charged for withdrawing.

Immediate access, and what it costs you. Our services are digital and normally available the moment you pay. If you ask for the service to be made available immediately, before the fourteen days have run, the law lets you do so on one condition: you must expressly acknowledge that you thereby lose your right of withdrawal once the service has been fully performed (article L.221-28 of the French Consumer Code). We ask for that consent at checkout, through a single checkbox that is never pre-ticked and states both points plainly, and we confirm it to you in writing afterwards.

If you do not give that consent, you keep your full fourteen days, and the service is made available at the end of that period.

If you withdraw while a service has been only partly performed at your express request, you owe an amount proportionate to what was actually supplied (article L.221-25 of the French Consumer Code). The rest is refunded.

09Duration & cancellation

One-off purchases (registration, transfer, Founding seat) are not subscriptions and involve no recurring commitment.

Subscriptions run for the period chosen and renew automatically for the same period unless cancelled. You can cancel at any time from your account, in a few clicks and without having to contact us, in accordance with article L.215-1-1 of the French Consumer Code. Cancellation takes effect at the end of the period already paid for, which stays available to you until then. Sums already paid for the period in progress are not refunded, without prejudice to article 8.

For contracts that renew automatically, you will be informed before each renewal within the time limits set by article L.215-1 of the French Consumer Code, so that you can cancel if you wish.

10Legal guarantees

Digital services supplied by RGATT carry the legal guarantee of conformity provided for by articles L.224-25-12 et seq. of the French Consumer Code. If the service does not match what was described, or does not offer the quality and features you may reasonably expect, you may require it to be brought into conformity, failing which you may obtain a price reduction or termination of the contract.

This guarantee applies independently of any commercial gesture, and no clause in these Terms limits it.

11The Founding Collector seat

This article states precisely what a Founding Collector seat gives, and what it does not, so that nothing rests on an assumption.

Nature and price. A single payment, not a subscription. Nothing further is ever charged for the seat itself. The number of seats is limited to 100. The price depends on the seat number, on a published ladder: €499 up to seat 25, €749 up to seat 75, then €999 up to seat 100. The price shown to you at the moment you confirm is the price you pay.

What it includes today. Unlimited registrations, with no per-watch fee. 100 Discover look-ups per month. Transfers at €9.95 instead of €19.90. A numbered seat between 1 and 100, allocated in order of payment.

What depends on a future service. The seat also grants priority access to the marketplace and the most favourable selling fee on it, when and if it opens. That marketplace does not exist at the date of these Terms. RGATT gives no undertaking as to a date, and none as to the fact that it will open at all. If it never opens, no refund is due on that basis: the seat is sold for the advantages listed in the previous paragraph, which are available immediately, and the marketplace advantages are an additional benefit and not the substance of the contract.

What "for life" means. It means for as long as RGATT operates the service, with no time limit and no further payment. It does not mean that RGATT undertakes to operate indefinitely. Should the service cease, article 12 applies.

Fair use."Unlimited" covers a collector's personal use, however substantial. It does not cover automated use, resale of access, or use on behalf of third parties in a professional capacity, for which a Pro plan exists. RGATT will contact the holder before taking any action, and will never restrict a seat without prior notice and a chance to respond.

Transferability. A seat is attached to the account of the person who bought it and cannot be sold or transferred to a third party.

Stopping. Because the seat is a one-off purchase and not a subscription, there is nothing to cancel and nothing further is ever charged. A holder who no longer wishes to use RGATT may close their account at any time. As the seat and its advantages are delivered in full at purchase, closing the account does not by itself give rise to a refund; any specific situation can be raised with us at legal@rgatt.com and will be handled fairly, without prejudice to the statutory rights set out in article 8.

12Stolen & lost reports

The platform lets an owner report a registered watch as stolen or lost. Watches reported stolen appear in a public registry, identified by serial number and never by the identity of any person, and are blocked from transfer.

Responsibility of the person reporting.A report is a declaration made on the reporter's own responsibility. Knowingly filing a false report causes serious harm to whoever holds the watch and may engage the reporter's civil and criminal liability. RGATT records who filed each report and when.

Right to challenge. Any person who considers that a report concerning a watch in their possession is unfounded may challenge it, free of charge, by writing to legal@rgatt.com, whether or not they hold an RGATT account. RGATT examines the challenge, may ask both sides for evidence, and removes the report from the public registry where it is not substantiated. RGATT undertakes to acknowledge any challenge without delay and to state the outcome with reasons.

Technical limit, stated plainly.Removing a report from the public registry restores the watch's status and unblocks transfer. However, a report already anchored on a public blockchain cannot be erased by anyone, including RGATT. Where a report is found to be unfounded, RGATT anchors a correcting entry so that the registry reflects the corrected status, but the original entry remains technically visible on the chain.

13Liability

RGATT is bound by an obligation of means as to the availability and security of the service. Registration attests to the coherence and traceability of the information recorded; it is not an expert appraisal of the watch and does not guarantee its condition, its value, or the validity of the title of whoever holds it.

For professional customers, RGATT's liability is limited to the sums paid to RGATT over the preceding twelve months.

This limit does not apply to consumers. Their statutory rights remain unaffected in full. No limit applies in cases of gross negligence, wilful misconduct, or personal injury.

If the service ceases.Should RGATT permanently discontinue the service, it undertakes to give at least three months' notice, to make each member's registry data available for export in an open format, and to refund on a pro rata basis any subscription paid for a period not served. For a Founding seat, an equitable refund will be assessed against the time elapsed since purchase.

14Personal data

Personal data processing is described in the privacy policy, which forms an integral part of these Terms. It sets out, in particular, what is written to a public blockchain and the practical limits that places on erasure and rectification.

15Complaints & mediation

Any complaint should first be addressed to legal@rgatt.com. We undertake to reply within a reasonable time.

If no satisfactory answer is reached, a consumer may refer the matter free of charge to a consumer mediator. The appointed mediator's current details are published in the legal notice. Referral to the mediator is a right, not an obligation, and does not prevent access to the courts.

16Governing law & language

These Terms are governed by French law. A consumer keeps, in every case, the benefit of the mandatory protective provisions of the law of the member state in which they are habitually resident.
